Terms of Service

These Terms of Service (“Terms”) govern access to and use of the PackMesh platform, including web, API, and related services. By creating an account or using PackMesh, you agree to these Terms as a customer of PackMesh LLC, a Florida limited liability company (“PackMesh LLC”).

Workspace information

PackMesh is operated by PackMesh LLC, a Florida limited liability company. Notices that must be provided in writing may be sent to legal@packmesh.io with "Attn: PackMesh LLC Legal" in the subject line.

Purpose and scope

PackMesh provides computational models, packing recommendations, and workflow tools to help teams evaluate packaging scenarios. Outputs are estimates and must be validated by you before operational use.

No professional engineering or certification services

PackMesh is not a licensed professional engineer, safety assessor, customs advisor, or certifying authority. PackMesh outputs are computational estimates, not validated engineering approvals, regulatory sign-offs, or safety certifications. You remain solely responsible for verifying compliance with engineering, packaging, logistics, trade, and safety standards before implementation.

Customer responsibilities

  • You are responsible for all data, configurations, and decisions made using PackMesh.
  • You must validate optimization outputs and ensure they meet engineering, safety, compliance, and business requirements before implementation.
  • You are responsible for keeping account credentials secure and for activity occurring under your account.

Eligibility and accounts

  • You must be at least 18 years old and able to enter into binding contracts to use PackMesh.
  • Accounts are for a single organization; administrators may provision and remove seats for teammates.
  • You will promptly notify PackMesh of unauthorized account access or security incidents.

No warranties and disclaimers

  • PackMesh is provided on an “as is” and “as available” basis without warranties of any kind.
  • PackMesh does not guarantee financial outcomes, shipment accuracy, compliance status, or operational performance derived from estimates, models, or recommendations.
  • PackMesh does not provide engineering, logistics, safety, regulatory, or professional advice.
  • PackMesh does not provide insurance or freight guarantees, and assumes no duty to inspect your packaging.

Limitation of liability

To the fullest extent permitted by law, PackMesh and its affiliates are not liable for lost profits, loss of business, shipment errors, inventory damage, or other consequential, incidental, or indirect damages. PackMesh’s aggregate liability is limited to the fees paid for the service during the twelve (12) months preceding the claim and is your sole and exclusive remedy even if a remedy fails of its essential purpose. These limitations do not apply to liability arising from PackMesh’s gross negligence, fraud, or intentional misconduct where such limitations are unenforceable by law, and nothing in these Terms limits non-waivable statutory rights.

Data ownership and processing

You retain ownership of the data and content you submit to PackMesh. PackMesh may use aggregated or de-identified insights derived from usage to improve models and benchmark performance, provided such insights do not disclose your confidential information. Additional terms governing personal data, security measures, and subprocessors are available in the Data Processing Addendum.

Feedback and suggestions

If you provide feedback, comments, or suggestions, you grant PackMesh a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.

Indemnification

You will defend and indemnify PackMesh against claims arising from your misuse of the service, violation of these Terms, or reliance on outputs without appropriate validation, including claims related to miscalculated inputs or inaccurate product data.

License and intellectual property

PackMesh grants you a limited, non-exclusive, non-transferable right to access and use the service during your subscription term. PackMesh and its licensors retain all intellectual property rights in the platform, models, and documentation. You may use generated reports and exports internally, but may not remove proprietary notices or misrepresent PackMesh outputs as certified engineering or compliance approvals.

Copyright and DMCA

PackMesh respects intellectual property rights. If you believe content hosted on PackMesh infringes your copyright, send a detailed notice to legal@packmesh.io with "DMCA" in the subject line, including the claimed work, location of the material, your contact information, and a statement made under penalty of perjury that you are authorized to act. PackMesh may remove or disable access to alleged infringing material and may terminate repeat infringers where appropriate.

Acceptable use and API protections

You may not scrape, reverse engineer, circumvent security controls, interfere with service stability, or use PackMesh for unlawful shipments or abusive automation. See the dedicated Acceptable Use Policy for detailed rules.

Export controls and prohibited uses

You agree to comply with all applicable export control and economic sanctions laws, including ITAR and EAR restrictions. You may not use PackMesh if you are a sanctioned party or for activities involving embargoed jurisdictions, military end uses prohibited by law, or customs evasion. You are responsible for compliance with import, export, and packaging regulations applicable to your shipments and products.

Subscriptions and billing

Paid tiers are governed by the SaaS Subscription and Billing Terms, including renewals, refunds, seat limits, and payment disputes.

Our Privacy Policy explains what data we collect, how it is used, and how to exercise your privacy rights.

Service availability and force majeure

PackMesh may occasionally be unavailable for maintenance or due to events outside our control, including force majeure events. Service availability commitments and potential credits, when applicable, are defined in the PackMesh Service Level Agreement. Scheduled maintenance and force majeure events will not constitute a breach of these Terms.

Insurance and regulated data

PackMesh does not provide cargo, packaging, or shipment insurance and is not responsible for insuring freight or related risks. PackMesh is not a Business Associate under HIPAA or a processor of regulated medical information unless expressly agreed in a separate signed Business Associate Agreement. Arbitration and class action waiver

Any dispute arising out of or relating to these Terms will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association, with venue in Florida and Florida law governing. Class actions and class arbitrations are not permitted. Either party may seek injunctive relief in courts located in Florida for intellectual property or unauthorized access claims. You and PackMesh waive the right to a jury trial.

Updates to these Terms

We may update these Terms to reflect product changes or legal requirements. Material updates will be posted to this page with an updated effective date. Continued use after updates constitutes acceptance.

Termination

You may stop using PackMesh at any time. We may suspend or terminate access for material breaches of these Terms, non-payment, or risks to the security or stability of the service. Upon termination, your right to use PackMesh ceases, but sections that by their nature should survive (including limitations of liability and indemnification) will remain in effect.

Governing law and disputes

These Terms are governed by the laws of the State of Florida, excluding its conflict of laws principles. Any dispute arising from these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Florida for matters not subject to arbitration, and the parties consent to personal jurisdiction in those courts.
